Terms of Use

1. Definitions

• Service: Our cloud-based software and related websites, apps, APIs, and documentation.
• Customer or you: The organization or individual using the Service.
• Customer Data: Any data, files, or content you or your users submit to the Service.
• Order: Your subscription selection, plan tier, and any add-ons as shown at checkout or in an executed agreement.

2. Acceptance and Eligibility

Use of the Service is permitted only by individuals who can form a binding contract and, where applicable, on behalf of a business entity with authority to accept these Terms.

3. Accounts and Security

• You must provide accurate, current information and keep it updated.
• You are responsible for safeguarding credentials and all activities under your account.
• Notify us immediately of any unauthorized use or security incident.

4. Subscriptions, Billing, and Taxes

• Paid features are provided by subscription. Fees, billing intervals, and features are shown in your Order.
• Subscriptions renew automatically unless canceled as described in Section 5.
• Prices exclude taxes unless stated. You are responsible for applicable taxes.
• You authorize us and our payment processors to charge your payment method for recurring fees and usage where applicable.

5. Cancellation and Termination

• You may cancel at any time from within your account settings; cancellation takes effect at the end of the current billing period.
• We may suspend or terminate access for non?payment, violation of these Terms, security risk, or legal compliance.
• Upon termination, your right to use the Service ceases, but sections intended to survive will continue (e.g., IP, confidentiality, liability limits).

6. Fair Use and Service Availability

• We strive for high availability but do not guarantee uninterrupted or error?free operation.
• We may impose reasonable limits to ensure stability and fair use.
• We may modify, suspend, or discontinue features with notice where feasible.

7. Customer Data and Privacy

• You retain ownership of Customer Data. We process it to provide and improve the Service, as described in our Privacy Policy.
• You are responsible for the accuracy and legality of Customer Data and for obtaining necessary consents.
• We implement administrative, technical, and physical safeguards appropriate for the Service.

8. Intellectual Property

• The Service, including software, designs, and content, is owned by Arara Software GmbH or its licensors and is protected by law.
• These Terms grant a limited, non?exclusive, non?transferable license to use the Service during your subscription.
• You may not copy, reverse engineer, or create derivative works except as permitted by law.

9. Feedback

Feedback or suggestions you provide may be used to improve the Service without obligation or compensation.

10. Third?Party Services

The Service may interoperate with third?party services. Your use of those services is governed by their terms and privacy policies.

11. Prohibited Activities

• Accessing the Service to build a competing product or benchmark without consent.
• Distributing malware, interfering with the Service, or attempting to bypass security controls.
• Using the Service for unlawful, infringing, or harmful activities.

12. Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non?infringement.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, even if advised of the possibility. Our aggregate liability under these Terms will not exceed the amounts paid by you to us for the Service in the twelve (12) months before the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold Arara Software GmbH harmless from claims, damages, liabilities, and expenses arising from your misuse of the Service or violation of these Terms.

15. Changes to the Service and Terms

• We may update the Service and these Terms from time to time.
• Material changes will be communicated via the Service or email where feasible.
• Continued use after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where Arara Software GmbH is established, without regard to conflict of laws rules. Courts of that venue shall have exclusive jurisdiction, unless otherwise required by applicable law.
